Why a cooperative?

Traditional digital technology organizations face a fundamental tension: the interests of people and investors rarely align. Venture-backed companies must prioritize growth and returns, often at the expense of the communities they serve.

Cooperatives resolve this tension by design. When the people who rely on our work are also owners, the organization’s success is measured by the value it creates for its community, not by quarterly earnings reports.

How we’re structured

Member ownership

Every member of Omnifi Foundation has an equal stake in the organization. There are no preferred shares, no outside investors with special voting rights. One member, one vote.

Democratic governance

Major decisions are made collectively. Our board is elected by members, and significant policy changes require member approval. Transparency isn’t optional—it’s how we operate.

Surplus distribution

When the cooperative generates surplus revenue, it’s reinvested in our mission or distributed to members based on their participation—not extracted by external shareholders.
